These Terms of Service ("Terms") govern your access to and use of the Arcivyn network and arcivyn.com (collectively, the "Platform"), operated by Arcivyn ("Arcivyn," "we," "us," or "our"). By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.
You must be at least 18 years old and able to form a binding contract to use the Platform. By using the Platform, you represent that you meet these requirements and that the information you provide is accurate and complete.
Arcivyn is a two-party, principal-to-principal network. There are two participant roles, plus administrators.
Accomplished professionals and executives who apply, are reviewed, and choose to be selectively visible. Candidate access is free. Candidates control their visibility, engagement, and identity disclosure at all times.
Verified organizations that engage candidates directly. This includes internal talent and hiring teams. It does not include third-party search firms. Hiring organizations complete company verification and sign a data use agreement before participating.
Arcivyn personnel who conduct review, curation, moderation, and accountability publishing.
You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You agree to provide accurate information, keep it current, enable available security features such as multi-factor authentication where required, and notify us promptly of any unauthorized use.
Membership is by application and is not guaranteed. Candidate profiles are reviewed by trained human reviewers before entering the network, and we may approve or decline an application at our discretion. Hiring organizations complete company verification and sign a data use agreement before accessing the network. We may suspend or revoke access if information provided proves inaccurate or if conduct violates these Terms.
Arcivyn is a private, invitation-based network. To the fullest extent permitted by law, we reserve the right, in our sole and absolute discretion, to admit, decline, suspend, restrict, or remove any participant, whether a professional, an executive, or a hiring organization, at any time, for any lawful reason or for no reason, and without obligation to provide a reason. Membership and continued access are a privilege, not a right, and confer no entitlement to remain on the Platform. Nothing in these Terms requires Arcivyn to admit any applicant or to retain any participant.
A candidate's identity is never disclosed without their explicit, per-engagement approval. Profiles shown to hiring organizations are anonymized until the candidate approves an introduction, and candidates may revoke approval at any time.
Before any engagement request reaches a candidate, the hiring organization must provide a complete disclosure of who they are, the role, and why they are reaching out. Engagement proceeds only if the candidate chooses to engage.
All users agree not to misrepresent their identity or intentions, attempt to identify or contact candidates outside the Platform's structured process, scrape, harvest, export, or bulk-collect data, circumvent anonymization or security controls, send spam or harassing communications, or use the Platform for any unlawful purpose. Violations may result in suspension or permanent removal.
Candidates may set their engagement mode to active, passive, or completely silent, and may go dormant at any time, which removes them from search and disables new contact.
The Platform, including its design, software, content, and trademarks, is owned by Arcivyn and protected by law. You retain ownership of the content you submit and grant Arcivyn a limited license to use it solely to operate and provide the Platform. You may not copy, modify, distribute, reverse engineer, or create derivative works from the Platform except as expressly permitted.
Candidate access is free. Hiring organizations purchase reveal packages, which provide a set number of candidate-approved introductions. A reveal is consumed only when a candidate approves a connection. Packages are purchased through our payment processor, and applicable terms, including expiration of unused reveals, are presented at the time of purchase. Except as required by law or expressly stated, payments are non-refundable.
Your use of the Platform is also governed by our Privacy Policy, which explains how we collect, use, and protect your information. By using the Platform, you consent to those practices.
You may close your account at any time. We may suspend or terminate your access if you violate these Terms, if required by law, or to protect the Platform or its users. On termination, your right to use the Platform ends, though certain provisions, including those relating to intellectual property, disclaimers, liability, and dispute resolution, survive. We will handle your data in accordance with the Privacy Policy.
You acknowledge and agree that you use the Platform and the Arcivyn network entirely at your own risk. To the fullest extent permitted by law, you knowingly and voluntarily assume all risks of any kind arising from or related to your access to or use of the Platform and the network, in any manner whatsoever.
You expressly release, waive, and discharge Arcivyn and its owners, officers, employees, contractors, agents, affiliates, successors, and assigns (the "Arcivyn Parties") from any and all claims, demands, causes of action, liabilities, losses, damages, costs, and expenses of every kind and nature, whether known or unknown, foreseen or unforeseen, that you may have or that may arise out of or relate in any way to your use of the Platform or the network, your interactions or dealings with any other user, any introduction, engagement, communication, hiring decision, or outcome, the conduct or content of any user, or any other matter connected with the Platform or the network. This release applies to the broadest extent the law allows.
Arcivyn is a venue that facilitates structured, consent-based introductions. Arcivyn is not a party to, and bears no responsibility for, any relationship, agreement, employment decision, or outcome between users. Arcivyn makes no representation or warranty regarding any user, the accuracy of any information any user provides, the suitability of any candidate or opportunity, or the conduct of any user, and you assume full responsibility for your own decisions.
To the fullest extent permitted by law, the Platform and the network are provided on an "as is" and "as available" basis, with all faults, and without warranties of any kind, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, title, accuracy, and non-infringement. Arcivyn does not warrant that the Platform will be uninterrupted, secure, error-free, or free of harmful components, that any information will be accurate or reliable, or that any particular result, introduction, engagement, or hiring outcome will be achieved. No advice or information, whether oral or written, obtained from Arcivyn or through the Platform creates any warranty not expressly stated in these Terms.
To the fullest extent permitted by law, in no event will the Arcivyn Parties be liable to you or to any third party for any indirect, incidental, special, consequential, exemplary, or punitive damages whatsoever, or for any loss of profits, revenue, data, goodwill, opportunity, or other intangible losses, arising out of or relating in any way to the Platform, the network, these Terms, the conduct or content of any user, any introduction, engagement, communication, hiring decision, or outcome, or any other matter, regardless of the theory of liability, whether in contract, tort, negligence, strict liability, statute, or otherwise, and even if the Arcivyn Parties have been advised of the possibility of such damages.
To the fullest extent permitted by law, the total aggregate liability of the Arcivyn Parties for any and all claims arising out of or relating to the Platform, the network, or these Terms, regardless of the form of action, will not exceed the greater of the total amount you actually paid to Arcivyn in the twelve months immediately preceding the event giving rise to the claim, or one hundred United States dollars. The existence of more than one claim will not enlarge this limit. You acknowledge that these limitations are an essential basis of the bargain and that Arcivyn would not provide the Platform without them.
Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages. In those jurisdictions, the exclusions and limitations above apply to the maximum extent permitted by law, and nothing in these Terms is intended to exclude or limit any liability that cannot be excluded or limited under applicable law.
To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless the Arcivyn Parties from and against any and all claims, demands, actions, investigations, proceedings, liabilities, damages, judgments, settlements, losses, costs, and expenses of every kind and nature, including reasonable attorneys' fees and other legal costs, arising out of or relating in any way to your access to or use of the Platform or the network, your content or information, your interactions or dealings with any other user, any introduction, engagement, communication, hiring decision, or outcome involving you, your violation of these Terms, your violation of any applicable law or regulation, or your violation of the rights of any third party.
This obligation applies whether or not the claim is ultimately found to have merit, and it survives the termination of these Terms and your use of the Platform. Arcivyn reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate fully with Arcivyn's defense. You will not settle any matter that affects the Arcivyn Parties without Arcivyn's prior written consent.
These Terms are governed by the laws applicable in the jurisdiction in which Arcivyn is established, without regard to conflict-of-law principles. The parties will attempt to resolve disputes informally before pursuing formal proceedings. Where permitted by law, disputes may be subject to binding arbitration on an individual basis, and you and Arcivyn waive any right to participate in a class action. Nothing in this section limits rights that cannot be waived under applicable law.
These Terms, together with the Privacy Policy, constitute the entire agreement between you and Arcivyn regarding the Platform. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our consent, and we may assign them in connection with a merger, acquisition, or sale.
